1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Kartsquare Pvt. Ltd. ("kartsquare", "we", "us", "our"), a company incorporated under the Companies Act, 2013, with its registered office at Plot 63-A, Prakash Nagar, Kalwad Road, Jhotwara, Jaipur, Rajasthan, India - 302012.

By accessing, registering on, or using the kartsquare website, mobile application, or any related service (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately cease using the Platform. You must be at least 18 years of age and legally competent to enter into contracts under the Indian Contract Act, 1872, to use kartsquare.

2. Nature of the Platform & Intermediary Status

kartsquare is a technology-enabled marketplace intermediary that connects:

• Customers with independent Service Providers for bookable local services, and
• Customers with independent Suppliers selling physical products through supplier storefronts.

kartsquare facilitates discovery, booking, ordering, communication, and payment processing. kartsquare is not the service provider, seller of record, manufacturer, or agent for any third-party listing. Service providers and suppliers are independent businesses solely responsible for the services they perform and the products they sell.

As an intermediary under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, kartsquare is not liable for third-party content or transactions except to the extent expressly stated in these Terms.

As required by the Consumer Protection (E-Commerce) Rules, 2020, each product listing on the Platform displays the seller's legal name, registered address, and contact details so buyers know who they are transacting with.

3. User Accounts & Registration

To access most features of kartsquare, you must create an account. By registering, you agree to:

• Provide accurate, current, and complete information during registration and keep it updated.
• Maintain the confidentiality of your login credentials and not share them with any third party.
• Accept full responsibility for all activity that occurs under your account, whether or not authorized by you.
• Notify us immediately at contact@kartsquare.com if you suspect unauthorized access to your account.
• Not create multiple accounts to circumvent suspensions, bans, or platform policies.

We reserve the right to verify your identity and, for service providers and suppliers, to conduct KYC (Know Your Customer) checks as required by applicable law before activating your account or processing payouts.

4. Customer Responsibilities

As a customer using kartsquare, you agree to:

• Provide accurate booking, delivery, and contact information.
• Treat service providers and suppliers with respect and professionalism at all times.
• Honor confirmed bookings and orders, or cancel within the timeframes described in Section 9.
• Pay for services and products as agreed at the time of booking or ordering.
• Not initiate fraudulent chargebacks, fake bookings, or submit false reviews.
• Not use the Platform to solicit service providers or suppliers to transact outside the Platform to circumvent fees.
• Comply with all applicable laws when using the Platform.

5. Service Provider Responsibilities

Service providers listing on kartsquare must:

• Provide accurate, complete, and up-to-date service descriptions, availability, pricing, and location.
• Hold all licenses, permits, certifications, and insurance required by applicable law to legally perform the services they list.
• Deliver services as described and honor all accepted bookings.
• Respond to booking requests and customer messages promptly and professionally.
• Maintain professional conduct and comply with our community standards and applicable consumer protection laws.
• Not engage in price manipulation, fake reviews, or any deceptive trade practice prohibited under the Consumer Protection Act, 2019.
• Comply with all applicable tax obligations, including GST registration and invoicing requirements.

6. Supplier & Product Listing Responsibilities

Suppliers listing products on kartsquare must:

• Provide accurate product descriptions, images, pricing, stock availability, and applicable taxes (including GST breakdowns).
• Hold all licenses, registrations, and permits required to sell the listed products in India, including FSSAI licenses for food products, BIS certifications where mandated, and any other sector-specific approvals.
• Fulfil confirmed orders within the timeframes stated on their storefront and keep order status updated in real time.
• Honor their published return, replacement, and warranty policies for defective, damaged, or materially misdescribed products.
• Not list counterfeit, prohibited, restricted, or stolen goods. Listing such items is a criminal offence and will result in immediate account termination and reporting to law enforcement.
• Issue valid GST-compliant tax invoices for all transactions.
• Comply with the Legal Metrology (Packaged Commodities) Rules, 2011, for all packaged goods.

The contract of sale for a product is directly between the customer and the supplier. kartsquare facilitates the transaction but is not a party to the sale contract.

7. Platform Fees & Revenue Share

kartsquare charges service providers and suppliers a platform fee or commission as agreed in their respective onboarding agreements. All applicable fees and taxes (including GST) are disclosed to providers and suppliers before they activate their listings. Fees are subject to change with 30 days' prior written notice.

Customers may be charged a convenience or platform fee for certain transactions. All such fees are displayed clearly before you confirm a booking or order. A confirmed booking or order will always honor the price agreed at the time of confirmation.

8. Payments & Financial Transactions

All payments on kartsquare are processed through RBI-authorized payment aggregators. By making a payment, you agree to the terms of the applicable payment gateway. kartsquare does not store full credit/debit card numbers, CVV codes, or UPI PINs.

• Payment Security: All transactions are encrypted using industry-standard TLS protocols.
• Failed Transactions: If a payment is debited but the booking or order is not confirmed, the amount will be automatically refunded to your original payment method within 5–7 business days.
• Provider/Supplier Payouts: Payouts to service providers and suppliers are processed after service completion or order delivery confirmation, subject to any applicable hold periods for dispute resolution.
• GST: All applicable GST is collected and remitted in accordance with the Goods and Services Tax Act, 2017.

9. Cancellations, Returns & Refunds

9.1 Service Bookings

• Cancellations made 24 or more hours before the scheduled service time are eligible for a full refund.
• Cancellations made within 24 hours of the scheduled service may incur a cancellation fee as disclosed at the time of booking.
• Customer no-shows may result in the full booking amount being forfeited.
• If a service provider cancels a confirmed booking, the customer will receive a full refund within 5–7 business days.
• Approved refunds are processed within 5–10 business days to the original payment method.

9.2 Product Orders

• Returns, replacements, and refunds for products are governed by the individual supplier's published return policy, displayed on the product listing page.
• Where a supplier does not specify a return policy, kartsquare's default policy of 7 days from delivery applies for items that are damaged, defective, or materially different from the listing description.
• Products must be returned in their original packaging with all accessories and tags intact.
• Approved refunds are processed within 5–10 business days to the original payment method.
• Certain product categories (e.g., perishables, customized items, digital goods) may be non-returnable. This will be clearly stated on the product listing.

9.3 Consumer Rights

Nothing in this Section limits your statutory rights under the Consumer Protection Act, 2019. You retain the right to approach the National Consumer Disputes Redressal Commission (NCDRC) or any appropriate consumer forum at any time.

10. Intellectual Property

All platform content created by kartsquare — including but not limited to our logo, brand identity, software, UI/UX design, algorithms, and proprietary data — is the exclusive property of Kartsquare Pvt. Ltd. and is protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and applicable intellectual property laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose. You may not:

• Copy, reproduce, modify, or create derivative works from our platform, branding, or content.
• Reverse-engineer, decompile, or disassemble any part of the Platform.
• Use our trademarks, logos, or brand assets without prior written consent.
• Frame or mirror any part of the Platform on another website without authorization.

11. User-Generated Content (UGC)

When you post reviews, ratings, chat messages, photos, videos, reels, or any other content on kartsquare ("UGC"), you retain ownership of that content. However, by posting UGC, you grant kartsquare a worldwide, non-exclusive, royalty-free, sublicensable, perpetual license to host, store, display, reproduce, modify, distribute, and use the UGC as necessary to operate, improve, and promote the Platform.

You represent and warrant that:

• You own or have the necessary rights to post the UGC.
• The UGC does not infringe any third party's intellectual property, privacy, or other rights.
• The UGC is accurate, not misleading, and does not violate any applicable law.

We may remove UGC that violates these Terms, our community standards, or applicable law, without prior notice.

12. Prohibited Activities

You may not use the Platform to:

• Engage in any activity that is illegal under Indian law or the laws of your jurisdiction.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Post false, misleading, defamatory, obscene, or harmful content.
• Harass, abuse, threaten, or discriminate against any user, provider, or supplier.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Platform or its underlying infrastructure.
• Introduce malware, viruses, or any other malicious code.
• Scrape, harvest, or systematically collect data from the Platform without our express written permission.
• List, sell, or facilitate the sale of counterfeit, stolen, prohibited, or restricted goods or services.
• Circumvent any technical measures we use to enforce these Terms.
• Use the Platform for money laundering, terrorist financing, or any activity prohibited under the Prevention of Money Laundering Act, 2002.

Violation of this Section may result in immediate account termination and reporting to relevant law enforcement authorities.

13. Privacy & Data Protection

Your use of the Platform is subject to our Privacy Policy, which explains how we collect, process, store, and protect your personal data in compliance with the Digital Personal Data Protection Act, 2023 (DPDP Act). By using the Platform, you consent to the data practices described in the Privacy Policy.

14. Disclaimers & Limitation of Liability

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, to the maximum extent permitted by applicable law.

• kartsquare does not guarantee the quality, safety, legality, fitness for purpose, or outcome of any service performed or product sold by a third-party provider or supplier.
• kartsquare is not liable for the acts, omissions, negligence, or misconduct of service providers or suppliers, or for disputes between users.
• kartsquare is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform.
• Our total aggregate liability to you for any claim arising from your use of the Platform is limited to the total platform fees paid by you to kartsquare (excluding amounts paid directly to providers/suppliers) in the 3 months preceding the claim.

Nothing in this Section excludes or limits our liability for: (a) fraud or fraudulent misrepresentation; (b) death or personal injury caused by our negligence; or (c) any liability that cannot be excluded or limited under applicable Indian law, including the Consumer Protection Act, 2019.

15. Indemnification

You agree to indemnify, defend, and hold harmless Kartsquare Pvt. Ltd., its directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or inability to use the Platform.
• Your UGC or any content you submit, post, or transmit through the Platform.
• Your violation of these Terms or any applicable law or regulation.
• Your violation of any third party's rights, including intellectual property or privacy rights.

16. Account Suspension & Termination

You may stop using kartsquare and delete your account at any time using our self-service Account Deletion form. Deletion requests are processed within 24–48 business hours, subject to the data retention obligations described in our Privacy Policy.

We may suspend or terminate your account, with or without notice depending on the severity of the violation, if you:

• Violate any provision of these Terms.
• Engage in fraudulent, abusive, or illegal activity.
• Pose a risk to the safety or integrity of the Platform or its users.
• Fail to pay any amounts owed to kartsquare.

Upon termination, your right to use the Platform ceases immediately. Sections 10, 11, 14, 15, 17, and 18 survive termination.

17. Force Majeure

kartsquare shall not be liable for any failure or delay in performance of its obligations under these Terms caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, internet or telecommunications infrastructure failures, power outages, cyberattacks, or labor disputes.

18. Governing Law, Dispute Resolution & Arbitration

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Step 1 — Informal Resolution: Before initiating any formal proceedings, you agree to first contact us at contact@kartsquare.com and attempt to resolve the dispute informally within 30 days.

Step 2 — Arbitration: If the dispute is not resolved informally, it shall be referred to and finally resolved by binding arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement, seated in Jaipur, Rajasthan, and conducted in the English language. The arbitral award shall be final and binding on both parties.

Consumer Disputes: This arbitration clause does not limit your statutory right to approach a consumer forum or the National Consumer Disputes Redressal Commission (NCDRC) under the Consumer Protection Act, 2019, for consumer disputes.

Jurisdiction: Subject to the arbitration clause above, the courts of Jaipur, Rajasthan shall have exclusive jurisdiction over any matters not subject to arbitration.

19. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, or applicable law. We will notify you of material changes via email or an in-app notice at least 15 days before the changes take effect, where practicable. The updated Terms will be posted on this page with a revised "Last Updated" date.

Your continued use of kartsquare after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

20. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and any applicable onboarding agreements, constitute the entire agreement between you and kartsquare regarding the Platform and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of our right to enforce that provision in the future.
• Assignment: We may assign or transfer our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, or sale of assets. You may not assign your rights or obligations under these Terms without our prior written consent.
• No Partnership: Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between you and kartsquare.
• Language: These Terms are drafted in English. In the event of any conflict between the English version and any translated version, the English version shall prevail.
